Company Management

The Company Management Act provides for the licensing and regulation of company managers.

Company management business is the provision of company management services for profit or reward in or from within Montserrat and the Act defines company management as the registration of companies under the Act, the provision of registered agent services under the Act or the Companies Act; the provision of registered office services for companies incorporated under the Act or the Companies Act; and the provision of nominee shareholders for companies or foreign companies.

Maintenance of Capital –

Companies holding a Company Management licence are required to maintain minimum capital as prescribed in the Act.

The Act requires that the Commission before granting a licence must satisfy itself that:

  • the applicant and persons having any share or other interest in or concerned with the management of a licensee are fit and proper persons;
  • that the issue of the licence is not against the public interest; and
  • that the applicant on being granted a licence will be in compliance with the requirements of the Act.

It is an offence to conduct company management in or from within Montserrat without a licence.
